By accessing or using SpyderSocial.com, including any website, web application, software platform, API integration, or embedded content owned or operated by SpyderSocial LLC (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

1. Description of Service and Platform Independence

SpyderSocial provides a full-stack social media analytics dashboard, workflow automation framework, and content management platform. Our Services allow users to aggregate performance metrics, manage publishing queues, and orchestrate cross-platform data streams.

Crucial Platform Clarification: SpyderSocial is an entirely independent, standalone software application. SpyderSocial is not endorsed by, directly affiliated with, maintained by, authorized by, or sponsored by TikTok, ByteDance, Meta, LinkedIn, Google, or any of their subsidiaries or affiliates. All third-party product, brand, and company names used within the Services remain the registered trademarks of their respective original owners. Our integration with third-party software architectures is strictly facilitated through official, authorized developer Application Programming Interfaces (APIs).

2. License to Use the Services

SpyderSocial LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your internal business or personal use, subject to your compliance with these Terms and payment of applicable fees. You may not download (except for page caching), reverse-engineer, decompile, disassemble, modify, or reproduce any portion of the Services without express written consent. All rights not expressly granted to you are reserved and retained by SpyderSocial LLC.

3. Eligibility and Account Registration

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to connect professional third-party business developer tools or creator tools via our platform. For general access to unlinked areas of the Services, you must be at least 13 years of age (or 16 years of age if residing in the European Economic Area).

By creating an account, you represent and warrant that you meet these eligibility requirements. You agree to provide true, accurate, current, and complete registration information and to update it promptly. You are entirely responsible for safeguarding your account credentials, including security tokens and API session states, and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4. Third-Party Platform Policies Alignment

Our Services rely extensively on live integrations with third-party networks. By authenticating, binding, or linking any external social media account or public profile to your SpyderSocial dashboard, you explicitly acknowledge and agree that your usage is simultaneously governed by those respective third parties' legal frameworks.

When authenticating or utilizing TikTok API features through SpyderSocial, you explicitly guarantee ongoing, unconditional compliance with:

Failure to abide by these external platform rules constitutes a material breach of these SpyderSocial Terms and will result in the immediate, automatic termination of your platform license.

5. User Conduct and Community Guidelines

You agree to use the Services respectfully and lawfully. You must not:

Be aggressive, harassing, threatening, defamatory, or post inappropriate, vulgar, or sexually suggestive remarks.

Create multiple accounts for deceptive, fraudulent, or malicious purposes, post spam, or disrupt conversations or platform workflows.

Impersonate any person, brand, platform representative, or entity, or solicit personal, sensitive, or private information from other users.

6. Prohibited Uses

To protect the security, legality, and integrity of the platform and our integrated partner ecosystem, you must not, and will not permit any third party to:

Use data mining, robots, spiders, screen scraping, or similar automated data extraction tools to harvest, mine, or scrape data, content, or intellectual assets from SpyderSocial or any connected third-party platform (including TikTok).

Frame, enclose, or mirror any trademarks, logos, or proprietary information of SpyderSocial LLC or its integrated platform partners.

Use meta tags or “hidden text” utilizing SpyderSocial’s name, brand assets, or trademarks.

Content and Protection Alteration: Programmatically or manually alter, mask, obscure, circumvent, or remove any copyright protection mechanisms, digital rights labels, or attribution elements—including but not limited to official TikTok watermarks, branding markers, creator handle tags, or attribution badges—without the express, written, and verifiable consent of the rightful content owner.

Use the Services for any unlawful, fraudulent, or malicious purposes, or to violate the intellectual property, privacy, or publicity rights of others.

Promote hate speech, violence, physical harm, systemic harassment, or intolerance based on race, age, gender, gender identity, ethnicity, religion, or sexual orientation.

Attempt to bypass, exploit, stress-test, or disrupt the security, rate limits, access controls, token architectures, or underlying infrastructure of the Services.

Unauthorized use automatically and immediately terminates the license granted by SpyderSocial LLC.

7. Direct Publishing and User Control Mandates

For features utilizing automated publishing pipelines or direct content scheduling APIs (such as the TikTok Direct Post API), the platform enforces strict operational protocols:

Absolute User Control: SpyderSocial provides an interactive, visual preview of any media, video asset, copy text, or hashtag array before transmission. You maintain absolute and final editorial control over all fields. You are required to manually review, verify, and approve the media composition and asset characteristics prior to confirming an upload request.

Commercial Content Disclosures: If any content item you are scheduling or publishing through SpyderSocial contains sponsored material, brand endorsements, or commercial promotions, you must check the appropriate native disclosure toggles provided within our dashboard to clearly flag the material as branded content. You are solely responsible for ensuring your commercial disclosures satisfy global consumer protection laws (such as FTC rules) and the specific Commercial Content Policies of your targeted destination platform.

8. Data Protection and API Compliance

We protect your data as outlined in our Privacy Policy, utilizing industry-standard encryption protocols (e.g., TLS in transit, AES-256 at rest), structural access controls, and secure physical storage environments.

Third-Party APIs: When accessing or processing data via third-party platforms (including, but not limited to, TikTok, Google Workspace, Meta, and LinkedIn APIs), SpyderSocial LLC complies strictly with their respective Developer Terms and User Data Policies.

Limited Use: Data acquired from third-party developer APIs is used strictly to provide, display, or improve the explicit, user-facing analytics and management features of the application as authorized by the account owner. We do not use individual platform data to build user profiles off-platform or track individuals across unassociated systems.

No AI/ML Training: Raw or derived personal user data, alongside any platform data acquired from integrated third-party APIs (including TikTok, Google, Meta, or LinkedIn), is strictly blocked from being used to train generative artificial intelligence, large language models, or machine learning models without your separate, explicit, affirmative, and opt-in consent.

API Access Revocation: You retain the right to revoke SpyderSocial's access to your connected profiles at any time. This can be executed directly within your SpyderSocial dashboard settings, or natively via your third-party account privacy management interfaces (for example, on TikTok by navigating to Settings and Privacy > Security and Login > Manage App Access and removing SpyderSocial). Upon revocation, our systems instantly cease all API queries for that data string.

You agree not to use the Services to circumvent the terms of service, technical rate restrictions, or data privacy rules of any third-party API integrated into our platform.

9. User-Generated Content and Intellectual Property

Our Intellectual Property: SpyderSocial LLC and its licensors own all legal rights, titles, and interests in the Services, including the underlying software code, algorithms, visual styles, dashboard interfaces, systems architecture, and database designs.

Your Content License: You retain all original ownership rights and copyrights to the media, texts, videos, and creative assets you upload, store, or distribute through the Services. By posting, uploading, or distributing content through the Services, you grant us a non-exclusive, royalty-free, worldwide, transferable, and sublicensable right to host, cache, encode, store, reformat, and transmit such content strictly for Service-related purposes (e.g., hosting your data, formatting video specs for API ingestion, and rendering analytics on your dashboard).

You represent and warrant that your content is original, that you hold all necessary licenses and rights to grant this permission, and that it does not infringe on third-party intellectual property or privacy rights. We reserve the right to remove any content deemed offensive, objectionable, unlawful, or in violation of these Terms at our sole discretion.

10. Copyright Infringement (DMCA Policy)

We respect the intellectual property rights of others. If you believe your copyrighted work has been infringed upon via our Services, please submit a written notification to our Copyright Agent containing:

A physical or electronic signature of the authorized copyright owner.

Identification of the copyrighted work claimed to have been infringed.

Identification of the material that is claimed to be infringing and where it is located on the Services.

Your contact information (address, telephone number, and email).

A statement that you have a good-faith belief that the use is not authorized by the copyright owner.

A statement, under penalty of perjury, that the information in the notification is accurate.

11. Fees and Payment

Certain premium analytics or workflow features of the Services require the payment of subscription fees (“Fees”). All Fees are non-refundable unless otherwise mandated by local consumer law. We reserve the right to change our pricing structures. We will provide advance notice of any Fee changes via the platform interface or direct email, and such changes will become effective at the start of your next billing cycle.

12. Third-Party Applications and Links

The Services integrate with, embed, or link to third-party applications, APIs, or websites. These integrations are provided solely for operational utility and convenience. SpyderSocial LLC is not responsible or liable for the uptime, operational behavior, layout features, content guidelines, or privacy practices of these third-party environments. Your use of third-party systems is subject entirely to their respective terms and conditions.

13. Termination and Suspension

We may suspend, freeze, or permanently terminate your account and your access to the Services at any time, without prior notice or liability, if we determine that you have violated these Terms, engaged in illegal activity, violated a third-party developer agreement (such as the TikTok Developer Terms), or for any other reason at our sole discretion. Upon termination, your right to use the Services immediately ceases. Account deletion, archival compliance, and data retention will be handled securely in accordance with our Privacy Policy.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYDERSOCIAL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE COMPLETELY UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, RECONCILED WITH LIVE THIRD-PARTY NETWORKS AT ALL TIMES, OR FREE OF VIRUSES OR OTHER HARMFUL ARCHITECTURES.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPYDERSOCIAL LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, REPUTATIONAL GOODWILL, BUSINESS INTERRUPTION, OR SYSTEM DATA, WHETHER INCURRED DIRECTLY OR INDIRECTLY. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SPYDERSOCIAL LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE TOTAL AMOUNT YOU PAID SPYDERSOCIAL LLC IN THE PAST TWELVE (12) MONTHS FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless SpyderSocial LLC, its affiliates, licensors, officers, and employees from and against any and all claims, liabilities, damages, losses, adjustments, and expenses (including reasonable legal and attorney fees) arising out of or in any way connected with your access to or use of the Services, your User-Generated Content, your violation of any third-party intellectual property or privacy right, or your violation of these Terms or external API platform rules.

17. Technical Support and Malfunctions

We aim to address system errors and provide technical support during standard business hours. However, SpyderSocial LLC is not liable for any business interruptions, lost revenue, failed social media campaigns, or other losses resulting from Service breakdowns, scheduled maintenance windows, API deprecations, or unforeseen network malfunctions.

18. Dispute Resolution and Arbitration

Please read this section carefully as it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, or interpretation thereof, shall be determined by binding arbitration in the State of New York, rather than in a court of law. You and SpyderSocial LLC agree to waive the right to a trial by jury or to participate in a class action lawsuit.

19. Governing Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the State of New York without regard to its conflict of laws provisions. Subject to the Arbitration provision above, the exclusive jurisdiction for all legal disputes that you and SpyderSocial LLC are not required to arbitrate will be the state and federal courts located in New York, and you and SpyderSocial LLC each waive any objection to jurisdiction and venue in such courts.

20. General Provisions

Amendments: We may update these Terms from time to time to maintain compliance with changing laws or evolving API developer rules. We will notify you of material changes via the Services dashboard or email. Continued use of the Services after such updates constitutes your explicit acceptance of the revised Terms.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Waiver: The failure of SpyderSocial LLC to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
